Introduction

Codake Softwares Private Limited ("Codake Softwares") is committed to maintaining the highest standards of ethics, professionalism, and legal compliance. This Code of Conduct sets forth the expected behaviors and responsibilities of all employees, contractors, and stakeholders. The company is committed to respecting Indian laws, including those of the state of Rajasthan, and ensures all employees understand their obligations and rights regarding their work, company projects, and intellectual property.

Compliance with Laws and Regulations

Adherence to Laws: All employees must comply with applicable national, state, and local laws. This includes compliance with the Factories Act, 1948, Industrial Disputes Act, 1947, Payment of Wages Act, 1936, Minimum Wages Act, 1948, and other related laws.

Intellectual Property: Employees must respect all intellectual property laws and regulations, ensuring that the company's software, designs, and creative work remain protected.

Probationary Period

Internship Period: For employees who join the company after completing an internship, the probationary period will be minimum 45 days.

Without Internship: Employees hired without completing an internship will have a minimum 90-day probationary period.

Termination During Probation: Either the company or the employee may terminate the employment with immediate effect, subject to the notice period requirements.

Notice Period and Salary Payment During Notice Period

Notice Period: Employees must serve a minimum of 30 to 90 days’ notice period depending on their role. The notice period is necessary to ensure a smooth transition and proper handover of responsibilities.

Salary During Notice Period: While serving the notice period, employees will receive 75% of their regular salary.

Failure to Serve Notice Period: Employees who fail to serve the required notice period may have their pending salary or benefits withheld until the notice obligation is fulfilled.

Project Ownership and Intellectual Property

Ownership of Work: All projects, code, designs, documents, and any work created during employment at Codake Softwares are the sole property of the company. Employees do not have the right to claim credit, ownership, or use of any work created during their employment, even after leaving the company.

No Rights to Take Work: Employees must not take any work, code, project-related information, designs, or intellectual property with them upon resignation or termination. All company-related work is the exclusive property of Codake Softwares and cannot be used or disclosed by the employee without explicit written consent from the company.

Project Data Transfer Upon Resignation: Upon resignation, employees are required to transfer all ongoing project data, code, and related documentation to the company before their departure. Failure to transfer this data will result in legal action and recovery of damages by the company.

Post-Resignation Compliance: Employees must ensure that no confidential, proprietary, or sensitive data is retained or used after resignation. Legal action may be pursued if employees fail to comply with this clause.

Professionalism and Integrity

Honesty and Transparency: Employees must act with honesty, transparency, and integrity in all dealings within and outside the company.

Conflicts of Interest: Employees must avoid conflicts of interest and disclose any potential conflicts to management immediately.

Fair Business Practices: All business transactions must be conducted fairly and ethically, adhering to all applicable laws.

Respectful and Inclusive Work Environment

Non-Discrimination: Codake Softwares ensures a workplace free from discrimination or harassment. All employees must be treated with respect and dignity regardless of their gender, race, ethnicity, religion, sexual orientation, or other protected characteristics.

Harassment-Free Workplace: Any form of harassment, bullying, or inappropriate behavior is prohibited. Employees are expected to maintain a professional and respectful environment.

Confidentiality and Data Protection

Confidential Information: Employees must protect and maintain the confidentiality of all sensitive company information, intellectual property, and client data.

Data Privacy: Employees are required to comply with applicable data privacy laws, ensuring the safe and secure handling of personal and client data.
